Hi-Tech Enterprises Maintenance Contract Terms and Conditions

Hi-Tech agrees to provide maintenance service for equipment covered by this agreement.  Such maintenance will include equipment adjustment and repairs, planned parts replacements, personnel training on use of equipment, and any preventive maintenance required.  Hi-Tech guarantees to maintain equipment in good working order.

Maintenance service and parts to correct lightning, fire, theft, water, abuse, and vandalism damage is not covered under this agreement.  Client will be charged at Hi-Tech established rates and prices for maintenance service and parts required by other than normal use or necessitated by malfunction on non-Hi-Tech parts, attachments, or devices.  This agreement does not apply to any equipment repaired by personnel other than Hi-Tech or which has been tampered with or damaged by customer in any manner.

Hi-Tech will have full and free access to equipment during Hi-Tech normal business hours.  Customer agrees not to remove equipment from its installed position without the approval of Hi-Tech.  This agreement is assignable by Hi-Tech with the prior approval of the client.  Said approval shall not be unjustly held.  This agreement is not assignable by the customer without prior approval by Hi-Tech.

This agreement is effective from the date it is accepted by Hi-Tech for a one-year period.  This agreement does not cover existing cabling or other infrastructure not installed by Hi-Tech.  All payments are due within ten (10) days of billing.  Either party may terminate this agreement for failure of the other to comply with any of its terms and conditions.  Terms and conditions under Special Maintenance Provisions shall take precedence over other terms and conditions of this agreement.

This agreement is binding on the parties, and their respective heirs, estates, successors and assigns.
